Two proxy advisers have called out to fellow Hewlett Packard shareholders to move for the ouster of several board directors. The call for ouster stems from their costly failed attempt to takeover Autonomy, a British software firm.
The top proxy advisor ISS, who is being followed by many investors for guidance on issues, have recommended the vote for the removal of Chairman Ray Lane together with directors John Hammegren and G. Kennedy Thompson. The other proxy advisor, Glass Lewis, is suggesting the removal of an additional two other directors, namely venture capitalist Marc Andreessen and Rajiv Gupta.
The proxies blamed the directors for failing to perform required due diligence as required prior to the acquisition. The firm was acquired for a value of US$11.1 billion but was written down in value last year amidst charges of accounting fraud committed by Autonomy executives led by then CEO Mike Lynch.
Lynch and Autonomy have denied these accusations.
