Novra Technologies Inc said it will be acquiring US-based firms Wegener Corporation and Westport Research Associates. Financial terms about the deal were not disclosed. Novra Technologies, based in Winnipeg, Manitoba, Canada, provides the datacasting and digital signage markets with premium products and solutions. In particular, it focuses on IP traffic transmission and reception through satellite, cable and terrestrial communication links.
A privately-held company based in Raytown, Missouri, Westport Research gives solutions for the movement and management of media assets for background music, digital signage, weather, broadcast radio and movie theaters. Meanwhile, Wegener Corporation which owns Wegener Communications Inc, has over three decades of providing digital video and audio solutions for broadcast television, radio, telcom private and cable networks. Its comprehensive product lines are able to take care of scheduling, management and delivery of media rich content to various devices. It holds headquarters in Johns Creek, Georgia.
Term sheets have already been signed between Novra Technologies and the two firms for the purchase. However, the deal will still be subject to Novra's due diligence and will still need to be approved by the stakeholders of Wegener Corporation, a statement about the deal said.
In the statement, Novra Technologies President and Chief Executive Officer Harris Liontas said, "The product portfolio of the combined companies will provide a powerful suite of capabilities for large-scale networks in radio broadcasting, business music, broadcast video, digital signage and IP-TV. Wegener Corporation and Westport Research Associates, Inc. are not just simple acquisitions but a merger allowing for the creation of a solutions-based provider that will offer clients a broader scope of services and deeper access to industry expertise."
The three firms combined have already delivered more than 450,000 devices in over 50 countries in six continents, giving content to hundreds of millions of clients. Existing and future customers will gain added value from the integration of the companies' software and hardware, the statement said.
